About Due Diligence

Due diligence is the investigative process of asking questions in relation to the acquisition of a company or business before you commit to a contract for the purchase of the company or business.  This is an essential step if you want to minimise risk and avoid reliance on the vendor’s untested warranties in relation to the assets and liabilities of the company or business.

Due diligence can take place before you enter into a contract (the preferred timing), or between exchange and settlement.  In the latter case, you should ensure that completion of satisfactory due diligence is a condition precedent to your obligation to complete the purchase.

It is important to allow sufficient time and resources to conduct due diligence which can be a long and involved process.
