Confidentiality & Teaming

INTRODUCTION

CONFIDENTIALITY AGREEMENTS

In this section we discuss the issues that are relevant to exchanging confidential information.  The focus is on exchanging information in normal commercial situations, such as discussing potential distribution arrangements and discussing future product direction and development. This section and the Online Contract Templates in this section applies to these commercial situations.

TEAMING AGREEMENTS

It is common for ICT suppliers to form consortiums to bid for particular ICT projects, particularly in response to a tender issued by a government agency.  In these circumstances one ICT supplier will often be the lead in preparing the bid (the prime contractor), and one or more other ICT suppliers will provide their goods or services to the prime contractor for inclusion in the overall bid response.  In preparing the bid response, confidential information, including product specifications, delivery approach and methodologies, pricing information and sales strategies will be exchanged between the sub-contractor and prime contractor.  

A teaming agreement is the appropriate document to set out the rights, responsibilities and obligations of the parties in respect of exchanging confidential information and the parties’ respective roles in completing the tender response and in any subsequent negotiations.  Pym’s Technology Lawyers is pleased to provide 2 Online Contract Templates reflecting different teaming arrangements.  One Online Contract Template is where the ICT supplier is acting as the prime contractor and the other is where the ICT supplier is acting as a sub-contractor.
